1. Introduction

These Terms and Conditions (“Terms”) govern the use of software development, web and app development, and digital marketing services (collectively, the “Services”) provided by Zatiq Sol (“We,” “Us,” or “Our”), a company offering innovative software solutions and digital marketing strategies to empower businesses. By engaging with our Services, including but not limited to custom software development, website creation, search engine optimization (SEO), paid search advertising, and social media marketing, you (“Client” or “You”) agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Definitions

• Client: The individual or entity engaging Zatiq Sol for Services, as specified in an Order Form or Statement of Work (SOW).
• Services: All software development, web/app development, and digital marketing services provided by Zatiq Sol, including but not limited to custom software, e-commerce platforms, SEO, paid search campaigns, and social media management.
• Deliverables: Any software, websites, applications, or marketing materials produced as part of the Services.
• Intellectual Property Rights: All registered and unregistered rights related to patents, copyrights, trademarks, trade secrets, and other intellectual property laws.
• Order Form/SOW: A document specifying the Services, fees, and other terms agreed upon by Zatiq Sol and the Client.

3. Scope of Services

3.1 Software Development

• Zatiq Sol will develop custom software, web, or mobile applications as outlined in the SOW, using reasonable care and skill to meet the agreed specifications.
• The Client is responsible for providing accurate, complete, and timely information, including technical requirements, to facilitate development.
• Zatiq Sol may provide maintenance releases (e.g., bug fixes, minor updates) during the project term but is not obligated to provide new versions unless specified in the SOW.

3.2 Digital Marketing

• Zatiq Sol will provide digital marketing services, including SEO, paid search advertising (e.g., Google Ads), and social media marketing, as outlined in the SOW.
• For SEO services, Zatiq Sol will develop strategies to improve the Client’s website visibility and search rankings but does not guarantee specific rankings due to third-party search engine policies.
• For paid search campaigns, the Client retains ownership of their advertising accounts (e.g., Google Ads), and Zatiq Sol will manage campaigns per the SOW. Upon termination, Zatiq Sol will cease work on these accounts, and they will remain the Client’s property.
• The Client must provide necessary access to websites, advertising accounts, and relevant data to enable Zatiq Sol to perform marketing services.

4. Client Responsibilities

• The Client shall provide accurate, current, and complete information required for the Services, including but not limited to business details, technical specifications, and marketing goals.
• The Client is responsible for reviewing and approving deliverables within agreed timelines. Failure to provide timely feedback may result in project delays, for which Zatiq Sol is not liable.
• The Client shall ensure compliance with all applicable laws, including data protection and export control regulations, related to their use of the Services.
• For digital marketing, the Client must implement recommended website changes (e.g., metadata, content) to support SEO or advertising efforts, unless otherwise agreed.

5. Fees and Payment

• Fees for Services are specified in the SOW or Order Form and are exclusive of applicable taxes, which the Client is responsible for paying.
• Payments are due in advance, as outlined in the SOW, and are non-refundable except as provided in these Terms.
• Late payments may result in suspension of Services or termination of the agreement, at Zatiq Sol’s discretion.
• For digital marketing services, the Client is responsible for funding advertising budgets (e.g., Google Ads spend), which are separate from Zatiq Sol’s service fees.

6. Intellectual Property

• Client Content: Any materials or intellectual property provided by the Client remain the Client’s property. Zatiq Sol will not use such materials beyond the scope of the Services without permission.
• Deliverables: Upon full payment, Zatiq Sol grants the Client a non-exclusive, worldwide, royalty-free license to use the Deliverables for their intended purpose. Zatiq Sol retains ownership of any proprietary tools, frameworks, or methodologies used in creating the Deliverables.
• Third-Party Components: If open-source or third-party components are used, the Client agrees to comply with their respective licenses.
• The Client shall not modify, reverse engineer, or resell any Deliverables without Zatiq Sol’s written consent.

7. Confidentiality

• Both parties agree to protect confidential information shared during the provision of Services, using reasonable care to prevent unauthorized disclosure.
• Confidential information may only be used for the purposes of this agreement and may not be shared with third parties except as necessary to perform the Services (e.g., subcontractors bound by confidentiality agreements).

8. Warranties and Disclaimers

• Zatiq Sol warrants that Services will be performed with reasonable care and skill and that software Deliverables will substantially conform to specifications upon delivery.
• Except as expressly stated, Services are provided “as is” without warranties, including implied warranties of merchantability or fitness for a particular purpose.
• Zatiq Sol does not guarantee specific outcomes for digital marketing services (e.g., search rankings, conversion rates) due to third-party platform policies and market variables.
• Zatiq Sol is not liable for issues arising from the Client’s failure to provide accurate information, implement recommendations, or comply with third-party platform terms.

9. Limitation of Liability

• Zatiq Sol’s liability is limited to the fees paid by the Client for the Services.
• Zatiq Sol is not liable for indirect, consequential, or punitive damages, including lost profits, arising from the Services.
• The Client assumes sole responsibility for the results of using the Services, including compliance with applicable laws.

10. Termination

• Either party may terminate the agreement with written notice if the other party breaches a material term and fails to remedy it within 30 days.
• Zatiq Sol may terminate or suspend Services if the Client fails to pay fees, violates these Terms, or if Zatiq Sol determines continued service is impractical (e.g., due to a conflict of interest).
• Upon termination, Zatiq Sol may delete Client data from its servers, and the Client remains liable for any outstanding fees. For digital marketing, advertising accounts revert to the Client’s control.

11. Data and Privacy

• The Client acknowledges that personal or sensitive data provided to Zatiq Sol is shared voluntarily and may be used to provide the Services.
• Zatiq Sol will comply with applicable data protection laws and maintain reasonable security measures to protect Client data.
• The Client is responsible for obtaining necessary consents for any personal data shared with Zatiq Sol.

12. Governing Law and Jurisdiction

• These Terms are governed by the laws of Bangladesh, unless otherwise specified in the SOW.
• Any disputes arising from these Terms shall be resolved in the courts of Dhaka, Bangladesh, unless otherwise agreed.

13. Changes to Terms

• Zatiq Sol reserves the right to update these Terms at its discretion. The most current version will be available on our website, and continued use of Services constitutes acceptance of the updated Terms.
• Clients will be notified of material changes to these Terms via email or through the Zatiq Sol platform.

14. Miscellaneous

• These Terms, along with any SOW or Order Form, constitute the entire agreement between Zatiq Sol and the Client, superseding any prior agreements.
• The Client may not assign this agreement without Zatiq Sol’s written consent.
• If any provision of these Terms is deemed unenforceable, the remaining provisions remain in effect.
